Protective Life, the Birmingham, Alabama-based life and annuity insurer and U.S. subsidiary of Japan’s Daiichi Life Group, has finalized its acquisition of Obsidian Insurance Holdings. The transaction, first announced in April, brings Obsidian—a hybrid fronting carrier that supports specialty property and casualty programs—into Protective’s portfolio as its fifth business line and marks Protective’s entry into the excess and surplus lines market.

Obsidian, founded in 2020, provides carrier infrastructure, oversight and reinsurance capacity to managing general agents (MGAs), managing general underwriters (MGUs) and program managers, ceding most of the risk it writes to reinsurers. Since its inception, the company has grown annual gross written premium to more than $1 billion. Under the deal, Obsidian’s chief executive William Jewett and president and chief operating officer Craig Rappaport will remain in their roles, while Protective’s executive vice president of acquisitions, Lance Black, will oversee the business within the larger organization.

Paul Wells, president of Protective, said the acquisition adds an important segment that complements the existing portfolio, noting that life insurers rarely buy P&C businesses because of differing risks and cycles. The purchase is Protective’s 62nd acquisition overall and its ninth since joining Daiichi Life in 2015. At the time of the announcement, AM Best placed Obsidian’s A- rating under review with positive implications, reflecting confidence in the combined entity’s financial strength.

The deal underscores the growing flow of capital into hybrid fronting carriers, which retain a share of risk while passing the remainder to reinsurers. For MGAs and program managers, Protective’s larger balance sheet could enhance ratings and capacity support. However, the reliance of fronting carriers on reinsurers’ appetite and rising casualty loss costs remains a risk that market participants will monitor.

Why it matters

The acquisition expands Protective’s product mix into P&C fronting, offering insurers and brokers a stronger capital partner for specialty programs.
