Arch Insurance to Acquire Premier Dealer Services
Arch Insurance North America has announced an agreement to acquire Premier Dealer Holding Corp. and its subsidiary, Premier Dealer Services (PDS). The Dublin, Ohio-based company has provided automotive finance and insurance (F&I) products and services since 1998. The transaction, which was announced on October 30, is expected to close before the end of the year, pending regulatory approvals.
PDS offers a platform that includes loyalty and protection products, dealer training programs, and technology infrastructure for independent and franchised dealerships across the United States. Following the acquisition, PDS will function as a standalone business within Arch Insurance’s consumer division, joining existing lines such as warranty and lenders solutions, accident and health, and travel.
While Arch has previously underwritten business through the PDS platform, this acquisition shifts the relationship from distribution to direct ownership. By acquiring the administration layer, Arch aims to secure direct control over the infrastructure used by independent F&I agents and brokers to manage compliance, process contracts, and deliver training. Matt Shulman, CEO of Arch Insurance North America, stated that the move is intended to strengthen the company's capabilities in the automotive F&I market. PDS CEO John Topits noted that the existing team will remain in place to ensure relationship continuity for agents and dealers.
The acquisition follows a broader trend of carriers and brokers increasing their investment in the automotive F&I space, which has become a significant distribution point. Owning the administration platform allows carriers to capture more economics and gain greater data visibility across dealer networks compared to traditional distribution-only arrangements. Arch has been actively expanding its North American presence through acquisitions, including the purchase of Allianz’s US MidCorp and Entertainment insurance businesses in August 2024 for $450 million. TD Securities acted as the financial advisor for the PDS deal, with Eversheds Sutherland LLP serving as legal counsel. The purchase price for the PDS acquisition was not disclosed.
Why it matters
This acquisition highlights a strategic shift where carriers are moving to own the underlying administration technology in the automotive F&I sector to gain better data visibility and control over distribution economics.
