Markel Group announced a reinsurance runoff agreement with Enstar Group that provides $1.2 billion of adverse development cover (ADC) for underwriting years up to 2025. The deal targets legacy exposures in the Global Reinsurance division and exited lines such as professional liability and architects and engineers, giving Markel greater certainty around runoff and allowing a sharper focus on its ongoing specialty insurance business.

Under the transaction, subject reserves total $4.8 billion; Markel will retain the first $2.6 billion and retrocede the next $2.3 billion to Enstar. In exchange, Markel obtains ADC of $1.2 billion above the subject reserves and will pay Enstar a risk premium of $120 million. The ADC agreement was executed between Markel Insurance and Enstar’s wholly owned subsidiary, Cavello Bay Reinsurance Ltd., with Markel retaining administrative and claims handling responsibilities.

Completion is expected by the end of the fourth quarter of 2026, pending regulatory approval and customary closing conditions. Earlier, Markel sold renewal rights for its $1.2 billion reinsurance business to Nationwide in August 2025 and placed its reinsurance division into orderly runoff. Enstar’s CEO Dominic Silvester said the agreement will give Markel greater certainty over legacy liabilities as it grows its core specialty business.

Markel’s CFO Brian Costanzo noted the ADC does not cover a $205 million reserving charge for State National, the fronting carrier subsidiary that issued paper for a now-bankrupt reinsurer. The transaction was advised by Insurance Advisory Partners LLC for Enstar and Aon as broker and adviser for Markel.

Why it matters

The ADC deal reduces uncertainty around Markel’s legacy liabilities, supporting a clearer balance sheet for investors in specialty insurance.
